1. Use of the Invoice Creator
In these Terms, "we", "us" and "Cobbo" mean Cobbo Nigeria Ltd., and the "Invoice Creator" or "Service" means Cobbo Invoicing. The Invoice Creator is an online software service that lets you create, save, edit, download and share your own branded invoices, record payments against them, and keep customer, ledger and task records for your business. To use it you will need to create a user account with your email address and a password, or by signing in with Google.
You acknowledge and confirm that the invoice created by the Invoice Creator is a retail invoice only, intended for requesting payments from your customers or clients for the goods and services you provide them. The Invoice Creator will not create a "tax invoice" and will not include all components required by your tax jurisdiction to qualify for tax invoice purposes. The invoice created should not be used or relied upon for tax purposes.
You further acknowledge and agree that it is your responsibility to confirm that the invoices you create are true and correct, and that they contain complete and accurate information regarding the transaction described therein, including any tax, discount, bank details and payment status you record. You represent and warrant that you have all rights to all content and data uploaded by you as part of your use of the Invoice Creator.
Aggregate Data. During and after the term of this agreement, we may use non-personally identifiable data within the Invoice Creator for purposes of enhancing the service, aggregated statistical analysis, technical support and other business purposes.
You acknowledge that you are solely responsible for all activity in your user account. Accordingly, you must use commercially reasonable efforts to prevent unauthorized access to your user account, and notify us promptly of any such unauthorized access.
Your Content. You retain all ownership rights in the content and data you create, upload or store through the Invoice Creator, including your invoices, logos, signatures, business details and the customer information you enter. By using the Service you grant Cobbo Nigeria Ltd. a limited, non-exclusive licence to host, store, process, transmit and display that content solely as needed to operate and provide the Service to you.
2. Prohibited Use
You will not use the Invoice Creator for any illegal, fraudulent or other prohibited activity. If we suspect that you may be engaging in or have engaged in a fraudulent, illegal or prohibited activity, including any violation of these Terms, your access to the Invoice Creator may be suspended or terminated.
Without derogating from the generality of the above, you may not:
- Sell, resell, rent or lease the use of the Invoice Creator.
- Issue false, misleading or fraudulent invoices, or use the Invoice Creator to request payment for goods or services you do not provide.
- Use the Invoice Creator to store or transmit infringing, unsolicited marketing, libelous, or otherwise objectionable, unlawful or tortious material, or to store or transmit material in violation of third-party rights.
- Interfere with or disrupt the integrity or performance of the Invoice Creator.
- Attempt to gain unauthorized access to the Invoice Creator, or to any other user's account or business data.
- Reverse engineer the Invoice Creator or any part thereof.
- Access the Invoice Creator to build a competitive service or product, or copy any feature, function or graphic for competitive purposes.
3. Accounts
When you create an account with us, you must provide information that is accurate, complete, and current at all times, including your business details. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.
You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password, whether your password is with our Service or a third-party service such as Google. We recommend turning on two-factor authentication.
You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.
You may not register a business under the name of another person or entity, a name or trademark subject to the rights of another person or entity, or a name that is otherwise offensive, vulgar or obscene.
4. Plans, Invoices & Credits
Creating an invoice uses one invoice from your plan's allowance for the current billing cycle, or, where your allowance is used up or you have no active plan, one invoice credit. Plans with unlimited invoices do not use credits. The allowance, number of team members and other features of each plan are shown on our pricing page and at the point of purchase.
Editing an existing invoice, changing its payment status or sharing it does not use an additional invoice or credit. Unused allowance does not carry over to the next billing cycle.
5. Subscriptions, Fees & Billing
Some features of the Invoice Creator are offered on a paid subscription basis. Subscription plans, their prices and billing cycles (monthly or yearly) are described on our pricing page and at the point of purchase.
Subscription fees are billed in advance for each billing cycle and are stated in Nigerian naira unless another currency is shown at checkout. Payments are processed by our third-party payment provider, Paystack. By subscribing, you authorise us and our payment provider to charge the payment method you supply for the applicable fees, including on each renewal.
You are responsible for any taxes associated with your subscription other than taxes based on our net income. We may change our fees or introduce new charges from time to time; we will give you reasonable notice of any fee change before it takes effect, and continued use after the change constitutes acceptance.
6. Renewal & Cancellation
Your subscription renews automatically at the end of each billing cycle, and the then-current fee for your plan is charged to your payment method using the payment authorisation stored by our payment provider. This allows uninterrupted access to your paid features. We will email you before your subscription is due to end.
You may cancel your subscription at any time from the Billing page in your account. Cancellation takes effect immediately: your plan ends straight away, any remaining invoice allowance for the current cycle is lost, and you will not be charged again. You can subscribe again at any time.
If a renewal payment fails, or your subscription ends without being renewed, your access to paid features ends until a new payment is made.
7. Refunds
Except where required by applicable law, subscription fees are non-refundable and there are no refunds or credits for partial billing periods, unused time, unused invoice allowance, or features not used, including when you cancel part-way through a billing cycle. If you believe you have been charged in error, contact us at support@cobbo.net and we will review your request.
8. Team Accounts
The Invoice Creator lets a business owner invite other people to collaborate as team members, each with an assigned role (owner, member or viewer) that determines what they can see and do. Viewers can see the business's records but cannot change them. The number of team members you can have depends on your plan.
The account owner is responsible for managing team members, for their activity within the business, and for ensuring they comply with these Terms. Invitations are personal to the invited recipient and expire if not accepted in time. We may rely on the owner's instructions regarding who is authorised to access the business's data.
9. Referral Programme & Credits
You can earn invoice credits by referring new users with your referral link. When someone registers through your link and creates their business, you receive 5 invoice credits. Credits have no monetary value, are not transferable or redeemable for cash, and may only be used within the Invoice Creator to create invoices.
We may modify, suspend or discontinue the referral programme or any credits at any time, and we may withhold or revoke credits where we reasonably suspect fraud, abuse, self-referral, or any violation of these Terms.
11. Your Personal Data
We will ensure that all your personal data is held in accordance with the data privacy and security provisions of applicable law and our published Privacy Policy. Your use of the Invoice Creator is subject to the Privacy Policy which you agree to as part of these Terms. We may amend the Privacy Policy by an update on the Privacy Policy page.
YOU ACKNOWLEDGE AND AGREE THAT WE RESERVE THE RIGHT TO ACCESS AND DISCLOSE PERSONAL DATA RELATING TO YOU TO COMPLY WITH ALL APPLICABLE LAWS AND LAWFUL REQUESTS FROM GOVERNMENT AND/OR OTHER REGULATORY AUTHORITIES, AND/OR TO PROTECT US, OUR CUSTOMERS AND OTHER USERS.
12. Links to Other Websites
The Service and our Website may contain links to third-party web sites or services that are not owned or controlled by Cobbo Nigeria Ltd., including the client websites shown in our portfolio. Cobbo Nigeria Ltd. has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party web sites or services.
We strongly advise you to read the terms and conditions and privacy policies of any third-party web sites or services that you visit.
13. Indemnification & Liability
You agree to defend, reimburse or compensate us and hold us, our other companies in our corporate group and any third parties on which we rely or partner with to deliver products and services harmless from any claim, demand, expenses or costs (including legal fees, fines or penalties) that we incur or suffer due to or arising out of your breach of these Terms, breach of any applicable law or regulation and/or use of the Invoice Creator.
YOUR USE OF THE INVOICE CREATOR IS AT YOUR OWN RISK. THE INVOICE CREATOR IS PROVIDED ON AN "AS IS" BASIS WITHOUT WARRANTIES OF ANY KIND. WE HEREBY DISCLAIM ALL WARRANTIES, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
No content, form or information provided by us as part of the Invoice Creator shall constitute or be construed as legal advice or tax advice. For additional information with respect to tax regulations, please consult with a tax attorney or tax advisor.
IN NO EVENT SHALL WE, OUR AGENTS, REPRESENTATIVES, DIRECTORS, OFFICERS, EMPLOYEES AND AFFILIATES BE LIABLE TO YOU OR ANY OTHER PARTY FOR ANY LOSS OR INJURY OR ANY DAMAGES, EITHER DIRECT, INDIRECT, PUNITIVE, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR OTHERWISE (INCLUDING, BUT NOT LIMITED TO LOST PROFITS OR LOST SAVINGS) RESULTING FROM OR IN ANY WAY CONNECTED TO YOUR USE OF THE INVOICE CREATOR.
14. Miscellaneous
These Terms shall be governed by and interpreted in accordance with the laws of the Federal Republic of Nigeria. Any dispute under these Terms and Conditions or in connection with your use of the Invoice Creator shall be brought exclusively in the courts of Nigeria.
If any part of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful or unenforceable, such part shall be severed from the remainder of the Terms, which shall continue to be valid and enforceable to the fullest extent permitted by law.
We reserve the right to make changes or additions to these Terms at any time, and will post the updated Terms on this page with a new "last updated" date. We may cancel or suspend the Invoice Creator should we determine, in our sole discretion, that the administration, security or fairness of the service has been compromised in any way.
